QYOU Media Plans 1-for-12 Share Consolidation, Subject to TSX Venture Acceptance
QYOU Media has selected a 1-for-12 consolidation of its common shares after receiving shareholder authority in July. The transaction remains subject to TSX Venture Exchange acceptance.
QYOU Media Inc. (TSXV: QYOU) (OTCQB: QYOUF) says its board has decided to proceed with a consolidation of the company’s issued and outstanding common shares. Under the proposed terms, one post-consolidation share would represent 12 pre-consolidation common shares.
QYOU Media expects the consolidation to become effective on or about November 24, 2025. The date is not final, as the transaction remains subject to acceptance by the TSX Venture Exchange.
If the consolidation is completed, the company expects to have approximately 51,903,674 common shares outstanding. That figure is subject to adjustments for fractional common shares and assumes that no additional common shares are issued before the consolidation takes effect.
Shareholders authorised the board to select the consolidation ratio at QYOU Media’s annual general and special meeting on July 23, 2025. The approved range extended from two (2) pre-consolidation common shares for one (1) post-consolidation common share to fifty (50) pre-consolidation common shares for one (1) post-consolidation common share.
The authority allowed the board to choose a ratio within that range and implement the consolidation before the next annual general meeting of shareholders. The company said further details are set out in its management information circular dated June 13, 2025.
QYOU Media operates through subsidiaries in India and the United States. The company produces, distributes and monetises content created by social media influencers and digital content creators.
In India, its Chtrbox business is described as an influencer and marketing platform and agency connecting brands, products and social media influencers. In the United States, QYOU Media says it works with film studios, game publishers and brands on content creation and marketing through creators and influencers.
