Murchison Minerals Ltd. has announced an intention to raise up to $1,000,000 through a non-brokered private placement, subject to acceptance by the TSX Venture Exchange. The proposed financing would support work at the company’s 100%-owned BMK project in Saskatchewan, along with working capital and administrative expenses.

#Proposed financing structure

The offering may include common share units, or CSUs, priced at $0.18 per unit, and flow-through common share units, or FTUs, priced at $0.25 per unit. Murchison may issue the two types of units in any combination, with aggregate gross proceeds of up to $1,000,000.

Each CSU would contain one common share and one-half of a common share purchase warrant. Each FTU would contain one flow-through common share and one-half of a warrant. All securities issued under the offering would be subject to a four-month hold period from the date of issue.

#Warrant terms and possible fees

Each whole warrant would allow its holder to acquire one additional common share at $0.50 for 24 months. Murchison said a finder's fee may apply to part of the funds raised, consisting of 6% cash and 6% finders' warrants.

Each finder's warrant would be exercisable for one common share at $0.18 for 24 months.

#Planned use of proceeds

Gross proceeds from the FTUs would be used for eligible “Canadian exploration expenses” qualifying as “flow-through mining expenditures” under the Income Tax Act (Canada) in connection with the BMK project. Murchison said those expenditures would be renounced to subscribers with an effective date no later than December 31, 2026.

Net proceeds from the CSU issuance would be allocated to BMK project exploration, working capital and general and administrative expenses.

#Insider participation and regulatory conditions

Company insiders, including directors and officers, may participate in the offering. Any such participation would constitute a related party transaction under Multilateral Instrument 61-101. Murchison anticipates relying on the exemptions from formal valuation and minority shareholder approval requirements set out in sections 5.5(b) and 5.7(1)(a) of MI 61-101.

The company said those exemptions are expected to apply because its securities are not listed on a specified market and the fair market value of the offering, to the extent it involves interested parties, would not exceed 25% of the company’s market capitalization. The offering was approved by all of Murchison’s independent directors.

#Company background and stated risks

Murchison Minerals is a Canadian-based exploration company focused on its 100%-owned BMK zinc-copper-silver project in north-central Saskatchewan and nickel-copper-cobalt exploration at its 100%-owned HPM Project in Quebec.

The proposed offering, its size and completion, exchange acceptance, possible insider participation, finder's fees, use of proceeds and the timing of flow-through expenditures are forward-looking matters identified by the company. Murchison said these matters depend on factors including regulatory approvals, exploration results, geological modelling, property interests, metal prices, environmental expectations, community and nongovernmental actions, and general economic and industry conditions.

The company cautioned that actual results may differ materially from its forward-looking information and said it does not undertake to update that information except as required by law. The offering remains proposed and is subject to TSX Venture Exchange acceptance.
