The company’s Board of Directors approved the reverse stock split before shareholders approved it at the 2026 Annual Meeting of Stockholders held on September 30, 2026. The approval was implemented through an amendment to GEE Group’s Amended and Restated Articles of Incorporation.
Shareholders who hold their shares electronically through a brokerage account or in book-entry form will not be required to take action to receive their post-split shares. Continental Stock Transfer & Trust Company will serve as the exchange agent.
