Core Silver Corp. (CSE:CC; FRA:8ZR; OTCQB:CCOOF) has completed a non-brokered private placement involving 2,340,500 flow-through units. The financing generated gross proceeds of $1,287,275 after being increased from the approximately $1,000,000 previously announced on September 29, 2026.

#Private Placement Terms

The company issued the units at $0.55 per FT Unit. Each unit consists of one common share issued as a flow-through share and one-half of one transferable common share purchase warrant issued on a non-flow-through basis.

Each whole warrant permits its holder to acquire one non-flow-through common share at $0.85 per Warrant Share at any time before the date that is two (2) years following the date of issuance.

All securities issued in the financing are subject to a statutory hold period of four (4) months and a day from issuance. Core Silver said no finder's fees were paid in connection with the offering.

#Use of Proceeds

Core Silver said the gross proceeds will be directed toward eligible Canadian exploration expenses connected with its Touleary Project in Yukon, Canada. The expenses are intended to qualify as flow-through mining expenditures under the Income Tax Act (Canada) and are to be incurred on or before December 31, 2027.

The company said all qualifying expenditures will be renounced in favour of subscribers effective December 31, 2027 and as otherwise required and permitted under the Act.

#Insider Participation and Regulatory Terms

An insider subscribed for 45,000 FT Units. Core Silver identified the participation as a related party transaction under Multilateral Instrument 61-101.

The company said the insider issuance was exempt from the formal valuation requirement under the exemption in section 5.5(a), because the units acquired by the insider do not exceed more than 25% of the company's market capitalization. It also said the transaction was exempt from minority shareholder approval under section 5.7(1)(b), because the fair market value of the securities distributed to the insider is not more than $2,500,000.

The securities have not been registered under the United States Securities Act of 1933, as amended. Core Silver said they were not offered or sold in the United States without registration or an applicable exemption from registration requirements.

#Touleary and Blue Properties

Core Silver is a Canadian mineral exploration company focused on precious and base metal projects in Canada. The Touleary Project is located approximately 115 kilometres south of Dawson City, Yukon, and hosts a drill-confirmed polymetallic volcanogenic massive sulphide system containing copper, gold, zinc and silver mineralization.

Historical drilling at the Discovery Zone identified 2.25 metres grading 7.18% copper, 3.55 g/t gold, 4.30% zinc and 116 g/t silver. Core Silver said 335 metres of the approximately 3.5-kilometre interpreted geophysical trend has been tested by historical drilling, while additional targets remain untested.

The company also holds 100% ownership of the Blue Property in the Atlin Mining District of northwestern British Columbia. The property comprises approximately 114,074 hectares (1,140 km²) and includes the Silver Lime and Laverdiere projects, which Core Silver describes as prospective for silver, copper, gold and associated base metals.

#Forward-Looking Information

Core Silver said its forward-looking statements are subject to risks and uncertainties. The company identified possible delays in obtaining required regulatory approvals, changes in market conditions and its ability to incur and renounce qualifying expenditures within the prescribed timeframes as factors that could cause actual results to differ from expectations.

The company also stated that forward-looking statements are not guarantees of future performance and that it has no intention or obligation to update or revise them except as required by applicable law.
