Potassium do Brasil, the Brazilian subsidiary of Brazil Potash Corp. (NYSE-American: GRO), has formalized a cooperation agreement with the Mura Indigenous Council for initiatives in Autazes, Amazonas. The arrangement is intended to support territorial development and living conditions in the municipality’s Mura communities.
#Four areas covered by the agreement
The agreement creates a framework for joint activities under the Bem Viver Mura Program. Its four focus areas are social development, cultural appreciation, income generation and institutional strengthening.
Brazil Potash said the planned activities are intended to take account of the communities’ cultural characteristics, ways of life and the region’s territorial conditions.
#Participation across 37 Mura villages
Implementation will be supported by formal governance arrangements, monitoring processes and continuing discussions between the company and the Mura Indigenous Council. These mechanisms are intended to follow progress, allow changes over time and maintain participation during the development of the Autazes Project.
The framework covers all 37 Mura villages. The company said engagement with the communities remains an evolving process centred on listening, joint problem-solving and recognition of differing views across the territory.
#Principles guiding the cooperation
The parties’ arrangement is based on good faith, openness, recognition of Indigenous rights and ongoing dialogue. It is aligned with Convention No. 169 of the International Labour Organization and international practices for engagement with Indigenous peoples.
Representatives of Potassium do Brasil and Mura Indigenous Council leaders attended the signing. Brazil Potash Project Director Raphael Bloise said the company aims to develop a long-term relationship with local communities while respecting their culture, rights and priorities. Mura Indigenous Council General Coordinator Kleber Mura said the agreement would support the participation of the council and the communities it represents.
#Power supply memorandum has lapsed
Brazil Potash also said a previously disclosed non-binding memorandum of understanding with Fictor Energia S.A. has lapsed under its terms and was not renewed or extended.
The proposed build-own-operate-transfer arrangement contemplated the construction and operation of an approximately 300 MW power generation facility at an estimated construction cost of approximately US$200 million. Brazil Potash said it is discussing similar BOOT or other power supply arrangements with other providers, but there can be no assurance that it will secure a definitive agreement on acceptable terms, or at all.
#Going-concern disclosure
Brazil Potash filed its annual report on Form 20-F for the fiscal year ended December 31, 2025 on March 23, 2026. The company said its audited consolidated financial statements included an audit opinion with an emphasis of matter paragraph concerning substantial doubt about its ability to continue as a going concern.
The disclosure was made under Section 610(b) of the NYSE American Company Guide. Brazil Potash said the announcement does not amend its audited consolidated financial statements or its Form 20-F annual report.
