Brazil Potash Corp. (NYSE American: GRO) has completed its previously announced public offering, generating approximately US$ 63,3 million in gross proceeds before underwriting discounts, commissions and other offering expenses. The funds are intended for working capital and other general corporate purposes, according to the company.

#Offering structure

The transaction included 7.000.000 ordinary shares issued at US$ 2,50 per share. Certain investors also received pre-funded warrants to acquire up to 18.300.000 ordinary shares at US$ 2,499 per warrant.

The warrant price reflected the public offering price per share less the US$ 0,001 per-share exercise price applicable to each pre-funded warrant. The underwriters also exercised in full their option to purchase 3.300.000 additional ordinary shares.

All of the ordinary shares and pre-funded warrants in the transaction were offered by Brazil Potash itself. The stated gross proceeds do not account for underwriting discounts and commissions or other expenses related to the offering.

#Offering advisers and regulatory filing

Canaccord Genuity served as lead coordinator, while Roth Capital Partners acted as joint coordinator. ArcStone Kingswood, a division of Kingswood Capital Partners, H.C. Wainwright & Co. and Titan Partners, a division of American Capital Partners, acted as co-managers.

The offering was conducted under a shelf registration statement on Form F-3, File No. 333-294964. The Securities and Exchange Commission declared the registration effective on 16 April 2026, and Brazil Potash said the final prospectus supplement and accompanying prospectus were filed with the SEC.

The company stated that the communication was not an offer to sell or a solicitation to buy securities. It also said the securities would not be sold in any jurisdiction where such a transaction would be unlawful before the required registration or qualification.

#Autazes Project context

Brazil Potash is developing the Autazes Project in the state of Amazonas. The company says production is expected to be transported mainly by river barges under a partnership with Amaggi.

Brazil Potash management estimates that the project could have initial capacity of up to 2,4 million tonnes per year, could supply approximately 20% of Brazil’s current potash demand and could contribute to reducing about 1,4 million tonnes of annual greenhouse-gas emissions.

The company also states that Brazil imported more than 95% of its potash fertilisers in 2025, despite having one of the world’s largest undeveloped potash basins. The capacity, demand and emissions figures are forward-looking estimates and may not be achieved.

#Risk disclosures

Brazil Potash said its forward-looking statements, including expectations about the use of the offering proceeds, are subject to risks and uncertainties linked to market conditions and the company’s operations. It warned that actual results may differ materially from those projected and said investors should not place undue reliance on the statements.

The company said the forward-looking statements reflect only the date of the announcement and that it assumes no obligation to update or revise them.
