Brazil Potash Corp has announced the appointment of Sergio Leite as President of Potássio do Brasil Ltda., its wholly owned Brazilian subsidiary responsible for the development and construction of the Autazes Potash Project.

The company, listed on NYSE-American under the symbol GRO, announced the appointment on Dec. 02, 2025. Brazil Potash describes itself as the developer and builder of Brazil’s largest potash fertilizer project.

#Leite’s project and financing background

Brazil Potash said Leite has ~40 years of executive experience spanning mining, steel, railway and port infrastructure in Brazil and abroad. The company also said he has worked on operating industrial plants and delivering projects totaling nearly US$20 billion.

During his time as Chief Executive Officer of Companhia Siderúrgica do Pecém, a joint venture involving Vale S.A., POSCO and DongKuk, Leite led negotiations for a US$2.9 billion loan contract. The financing involved Brazil’s BNDES, Korean Export Credit Agencies and a syndicate of eight banks.

His previous positions also include Operational Director, CEO of Vale Oman, and Institutional Relations and Sustainability Director at Vale S.A. Brazil Potash said he also led efforts at BAFER – Bahia Ferrovias to obtain funding for railway infrastructure.

#Role in the Autazes project

Potássio do Brasil is responsible for advancing the development and construction of the Autazes Potash Project. The company said Leite’s experience with financial institutions, government authorities and industrial stakeholders will support efforts to secure funding for the project.

The announcement does not state that financing for the Autazes Project has been secured, nor does it provide a construction completion date.

#Planned production and domestic supply

Brazil Potash says the project has an initial planned annual potash production of up to 2.4 million tons per year. Management believes it could potentially supply approximately 20% of current potash demand in Brazil.

Management anticipates that 100% of Brazil Potash’s production will be sold domestically. The company says Brazil imported over 95% of its potash fertilizer in 2021, while the country has what it describes as one of the world’s largest undeveloped potash basins.

The company also says production from Autazes will be transported primarily by river barges on an inland river system, under an arrangement involving Amaggi, a Brazilian farming and agricultural logistics operator.

#Risks and forward-looking statements

Brazil Potash said statements concerning Leite’s appointment, project financing, construction progress, the planned development of Autazes and the expected benefits of his appointment are forward-looking statements. The company warned that these statements are subject to risks and uncertainties, including factors beyond its control.

The company referred readers to the risk factors in its amended Form F-1 registration statement filed with the SEC and its supplemented PREP prospectus filed in each Canadian province and territory other than Québec. Brazil Potash also said readers should not place undue reliance on the forward-looking statements and that it does not undertake to update them unless required by law.
