Valion Bio, Inc. (NASDAQ:VBIO) is evaluating strategic alternatives for its wholly owned contract development and manufacturing organisation, Velocity Bioworks, after receiving unsolicited acquisition inquiries from independent third parties. The company said discussions have begun but remain preliminary, and it has not agreed to sell the subsidiary or pursue another specific transaction.

#Preliminary discussions under way

Valion Bio said it is considering the full range of options for Velocity Bioworks, including a possible sale. Its review will take account of proposed valuation and terms, execution certainty and potential net proceeds.

The company has retained a nationally recognized investment banking firm to advise its Board of Directors on a potential transaction. Valion Bio said there is no assurance that the discussions will produce a definitive agreement or a completed transaction on acceptable terms, or at all.

#Manufacturing access remains a priority

Any potential transaction would be assessed against Valion Bio’s need to retain production rights and maintain manufacturing capabilities for Entolimod, as well as potentially for other assets in its development pipeline.

Valion Bio said the structure of a sale could provide additional capital for Entolimod’s ongoing development and other corporate priorities, while allowing Velocity Bioworks to operate under new ownership. These outcomes remain dependent on the terms and structure of any transaction, and no transaction has been agreed.

#Velocity continues operating

Velocity Bioworks provides biologics development and manufacturing services to Valion Bio and biotechnology companies working on early-stage programmes. Valion Bio said the subsidiary remains operational during the review, while it continues to seek new customer relationships.

The review forms part of the priorities Valion Bio outlined on October 21, 2026. Those priorities include advancing Entolimod and other pipeline assets, expanding Velocity Bioworks’ commercial business and assessing strategic opportunities for the subsidiary.

#Context on Valion Bio’s pipeline

Valion Bio is developing biologics intended to activate innate immune pathways for cytoprotection and immune modulation. Its lead candidate, Entolimod, is being developed as a potential medical countermeasure for Acute Radiation Syndrome and has been assessed in animal models under the U.S. Food and Drug Administration’s Animal Rule.

The company is also advancing Entolasta, described as a next-generation Toll-like Receptor 5 agonist, alongside potential programmes involving neutropenia and immune dysfunction. Entolimod has received Fast Track and Orphan Drug designations from the FDA, and Valion Bio holds an exclusive, worldwide licence from Statera Biopharma to develop and commercialise the product for Acute Radiation Syndrome, radiation-induced neutropenia and other indications.

#Further disclosure

Valion Bio said it does not expect to issue additional updates on the discussions unless a definitive agreement is reached or its Board determines that disclosure is appropriate or legally required.
