Sun Peak Metals Corp. (TSXV:PEAK)(OTCQB:SUNPF) has increased the size of its proposed non-brokered private placement to gross proceeds of up to $10,000,000. The company previously announced an offering of up to $5,000,000 on September 17, 2026. The amended financing remains subject to required regulatory and other approvals, including approval from the TSX Venture Exchange.

#Amended financing terms

Under the revised terms, Sun Peak proposes to issue up to 25,000,000 Units at $0.40 per Unit. Each Unit would contain one common share and one-half of one common share purchase warrant.

Each whole Warrant would allow its holder to acquire one Warrant Share at $0.55 per Warrant Share for 2 years from the closing of the Offering.

#Accelerated warrant expiry provision

The Warrants would include an accelerated expiry provision. If the volume-weighted average price of Sun Peak’s common shares on the TSXV equals or exceeds $1.10 for ten (10) consecutive trading days, the Warrants would expire thirty (30) days after the company either gives acceleration notice to holders or publishes a news release announcing the acceleration. Sun Peak would choose which of those actions to take.

#Use of proceeds and transaction conditions

Sun Peak says the net proceeds are intended for exploration at its projects in the Kingdom of Saudi Arabia and Ethiopia, the costs of the Offering and general working capital.

The Offering is subject to certain conditions, including receipt of all necessary regulatory and other approvals, including TSXV approval. Securities issued in connection with the Offering would also be subject to a four-month and one-day hold period under applicable securities laws.

Finder’s fees may be payable. If applicable, the related terms will be disclosed at a later time. Further terms and conditions apply to the transaction.

#United States securities restrictions

The securities have not been and will not be registered under the United States Securities Act of 1933, as amended, or under any state securities laws. They may not be offered or sold in the United States, or to or for the account or benefit of U.S. persons, unless registration has been completed under the U.S. Securities Act and applicable state laws or an exemption is available.

The release also states that it does not constitute an offer to sell securities or a solicitation of an offer to buy securities.

#Sun Peak’s exploration portfolio

Sun Peak describes its portfolio as being located within the Arabian-Nubian Shield. In the Kingdom of Saudi Arabia, the company holds 13 exploration licences totaling 1,072 km² and has applications pending for two additional exploration licences covering approximately 200 km².

In Ethiopia, Sun Peak’s Shire Project comprises six exploration licences covering approximately 1,450 km². The company says its exploration strategy is focused on advancing projects from regional target identification through drill testing.

#Risks and forward-looking information

The company identifies the Offering’s terms and completion, the expected increase in its size, the intended use of proceeds, the receipt of regulatory approvals and the advancement of exploration projects as forward-looking information.

Sun Peak says actual results may differ materially because of risks and uncertainties. Those identified include the company’s ability to generate sufficient cash flow or raise additional capital, its history of losses and negative cash flow, the timing of required approvals, political and economic conditions in Saudi Arabia and Ethiopia, international conflict, trade disputes, tariffs, supply chain disruptions, exploration and mining risks, property and mineral title risks, insurance limitations, competition, community relationships, and the interpretation of exploration data and mineral deposits.
