#Acquisition details

Revolve entered into definitive agreements for the acquisition on October 30, 2026. The completed transaction involved the purchase of all issued and outstanding shares in Logan.

#Ontario portfolio context

Revolve’s updated Ontario portfolio includes the six-project Trillium Storage portfolio, which the company acquired in August 2026.

Across its wider operations, Revolve develops utility-scale wind, solar, hydro and battery storage projects in the US, Canada and Mexico. It also installs and operates sub 20 MW behind-the-meter distributed generation assets.

The company also expects the transaction to be accretive to revenue and to further establish its presence in Ontario.

These statements are forward-looking information based on the company’s opinions, estimates and assumptions. Revolve said there can be no assurance that the underlying opinions, estimates and assumptions will prove correct.

The company also cited expectations regarding Stem’s continued operation of the portfolio. Those expectations depend on the continued operation and performance of the projects, as well as the maintenance of host customer arrangements, service agreements, permits and interconnection approvals.

The company also identified potential operational, financial and supply chain disruptions; the continued ability to maintain systems and facilities; electricity pricing remaining competitive with alternative energy sources; and changes in applicable laws, political conditions, public policies or government directions.

Other stated risks include operational performance, host customer, contractual, permitting, interconnection, equipment, maintenance and cost inflation risks.
