RenX Enterprises issued a shareholder letter on October 26, 2026, after its stock closed at $1.22 on Friday, October 23. The company said the closing price was down roughly 29% from $1.72 on October 16 and that the shares reached an intraday 52-week low of $1.15. Management said it was not aware of a business-related reason for the movement and used the letter to review operating progress, financing changes and the installation of its Microtec UTM 1200 Turbo Mill.
#Processing and logistics operations
RenX said its business has shifted from a focus on real estate holdings to two operating units. Resource Group runs an 80-plus acre FDEP-permitted facility in Myakka City, Florida, where land-clearing debris, green waste and wood waste are processed into mulch, compost and engineered soils.
Resource Group delivered 192,276 cubic yards of finished product during the first nine months of 2026. According to the company, that was 58% more than the same period of 2025 and 18% more than all of 2025 combined. Third-quarter deliveries were 54,064 cubic yards, up 98% year over year. Inbound feedstock was roughly 96,500 cubic yards, compared with 97,700 in the second quarter.
Zimmer Equipment operates the company’s CDL hauling and heavy equipment logistics business. RenX reported $3.2 million of second-quarter revenue and $258 thousand of operating income for the logistics segment in its filing for the quarter ended June 30, 2026. The segment’s operating income had been $93 thousand in the first quarter. In September, Zimmer added a transfer-station-to-landfill route for a large national waste company and purchased trailers for the work.
Consolidated second-quarter revenue was $4.26 million, with a 31.9% gross margin. First-half revenue was $8.21 million. RenX also said it had purchased equipment that it had previously rented and had launched a land-clearing division, which had booked two purchase orders, including a subcontract with Central Site Development.
#Balance-sheet changes and remaining debt
RenX said related-party debt declined from $5.6 million on December 31, 2025 to $0.5 million on June 30, 2026. Its $1.2 million derivative liability was effectively eliminated, while total assets increased from $35.5 million to $38.7 million.
In June, the company converted $7.2 million of debt and accrued interest owed to a related-party lender into Series C preferred stock. RenX also transferred its former Lago Vista property to the lender through a deed in lieu of foreclosure in exchange for the lender’s agreement to conditionally extinguish $5.0 million of the outstanding note.
The company said roughly $12 million that had been due in 2026 now comes due in 2027. It also raised approximately $12.0 million of face value in senior convertible notes from institutional investors through closings in April and August, using part of the second closing to retire a portion of the February 2026 notes in cash.
RenX said it still has roughly $30 million of gross debt and continues to include a going concern paragraph in its periodic reports filed with the Securities and Exchange Commission. Management described 2027 as a refinancing year. The company also said its ability to maintain adequate liquidity and working capital, satisfy or refinance maturities and continue as a going concern remains subject to risk.
#Mill installation and commissioning target
The Microtec UTM 1200 Turbo Mill was placed on its foundation at the Myakka City facility on September 30, 2026, inside a covered structure built for the equipment. RenX said installation work was continuing, with electrical interconnection and commissioning among the remaining milestones. Commissioning is targeted for the fourth quarter of 2026.
The company said the mill is intended to process woody material remaining after screening into an engineered horticultural substrate. RenX described this as a planned move from selling materials by the yard to producing a specified growing medium for nurseries and growers.
The commissioning schedule remains subject to construction, weather, contractor, utility interconnection, permitting, inspection and integration risks. RenX also identified risks involving the mill’s performance once operational, customer qualification, market acceptance and pricing for engineered growing media and bulk materials.
#Convertible notes and share-price risks
RenX attributed the recent trading activity, in part, to the structure of its senior convertible notes and the resale of shares underlying those securities. The company said noteholders may convert at an alternate conversion price equal to the greater of a floor price of $0.534 and 92% of the lowest volume-weighted average price in the ten trading days before conversion.
The company warned that conversions and resales could create substantial dilution and downward pressure on its common stock. Its filings include up to 24,276,696 shares registered for resale pursuant to its prospectus dated October 14, 2026. RenX also cited volatility and limited trading volume in its common stock, restrictive covenants and participation rights under its securities purchase agreement, and the possible conversion of Series C and Series D convertible preferred stock and exercise of outstanding warrants.
The resale registration for shares underlying the second closing notes and warrants was declared effective on October 14. RenX said it was in compliance with every continued listing standard currently in effect on Nasdaq, while noting that future listing compliance remains subject to risks described in its filings.
#Reporting plans and other contingencies
RenX said it intends to report third-quarter results on schedule, provide delivery volumes each quarter and disclose remaining mill installation milestones as they are completed. Third-quarter 2026 financial statements had not been finalised when the letter was issued, and the company said the information in the letter should not be read as guidance for that period or any future period.
The company also disclosed that strategic parties in logistics and horticulture had approached it. RenX said no decision had been made to sell any business and that discussions might not result in a transaction or could lead to terms less favourable than anticipated.
Other risks identified by the company include seasonal, weather-related and market-driven changes in demand and delivery volumes; equipment downtime; feedstock availability and cost; the trial nature of a new hauling engagement; customer termination or reductions in hauling work; reliance on a limited number of customers; and the possibility that additional land-clearing orders or hauling routes may not be secured or performed profitably. Further terms and risks apply through the company’s securities agreements and regulatory filings.
