#Agreement with Auctus Advisors

CanCambria said it has entered into an agreement with Auctus Advisors LLC for UK capital markets advisory services, subject to regulatory approval. The company described Auctus as arm’s length and said the adviser has indicated that it does not own any CanCambria securities.

Auctus is based in Kent, UK, and focuses on equity capital markets and advisory work in the energy sector. Its stated responsibilities under the agreement include liaising between CanCambria and the investment community, preparing and publishing equity research, advising on investment conditions and the pricing of the company’s securities, and building awareness of CanCambria and its business among institutional and other shareholders.

#Term and retainer

The agreement has an initial term of one year. It will continue unless either party ends it by giving three months’ prior written notice.

During the initial term, Auctus will receive a retainer of £60,000 per annum, paid in equal quarterly instalments in advance. The retainer may be increased each year by a percentage equal to the increase in the UK Retail Prices Index until the agreement ends.
