CanCambria Energy Corp. has increased the maximum size of its previously announced non-brokered private placement by an additional $1,000,000. The proposed financing could raise aggregate gross proceeds of up to $3,000,000, but remains subject to regulatory and other approvals.

#Increased financing terms

Under the revised offering, CanCambria is offering up to 7,500,000 units at $0.40 per Unit. Each Unit consists of one common share and one common share purchase warrant.

Each Warrant would allow its holder to acquire one additional common share at an exercise price of $0.50 per Warrant Share for three (3) years after the date of issuance.

The company said the offering may close in one or more tranches as subscriptions are received. Other terms remain unchanged from those outlined in CanCambria’s January 5, 2026 news release.

#Planned use of proceeds

CanCambria states that net proceeds would be directed toward procuring long-lead items connected with the start of the 2026 drilling program. The company also plans to use funds for ongoing technical resource evaluation of the Kiskunhalas Concession Area, support for the Joint Venture process involving the BA-IX tight-gas field, and general corporate purposes.

#Conditions and regulatory status

The offering is subject to the satisfaction of certain conditions, including, but not limited to, receiving all necessary regulatory and other approvals, including approval by the Exchange. The announcement does not provide a closing date.

The financing is not an offer to sell or a solicitation of an offer to buy securities in jurisdictions other than those specified in the announcement, including the United States or for the account or benefit of U.S. persons as defined in Regulation S under the 1933 Act.
