Brazil Potash Corp. said its Brazilian operating subsidiary, Potássio do Brasil Ltda., formalized a cooperation agreement with the Conselho Indígena Mura (CIM) on March 23, 2026. The arrangement covers sustainable territorial development and measures intended to improve conditions for Mura Indigenous communities in Autazes, Amazonas.
#Agreement covers four development areas
The Termo de Compromisso e Cooperação provides a framework for strengthening the Programa Bem Viver Mura. The programme is organised around social development, cultural appreciation, income generation and institutional strengthening.
According to the announcement, planned activities are intended to account for the communities’ sociocultural characteristics, ways of life and territorial dynamics. The agreement involves engagement across all 37 Mura villages in the municipality.
#Governance and community engagement
The arrangement establishes regular interaction between Potássio do Brasil and the CIM to follow implementation and make adjustments over time. Its governance structure is intended to support transparency, predictability and continuing participation throughout the development cycle of the Autazes Project.
The parties said the framework is based on good faith, transparency, respect for Indigenous rights and ongoing dialogue. It is aligned with Convention No. 169 of the International Labour Organization and international practices for engagement with Indigenous peoples. Consultation with communities remains ongoing, with an emphasis on active listening, collaborative solutions and recognition of differing perspectives.
The signing included Potássio do Brasil Project Director Raphael Bloise and technical staff, along with CIM Coordinator-General Kleber Mura, Vice-Coordinator Adnelson Mura, Secretary-General Matilde Mura and the council’s legal adviser.
#Fictor energy memorandum has expired
Brazil Potash also disclosed an update on a separate energy arrangement for the Autazes Project. The company’s non-binding memorandum of understanding with Fictor Energia S.A. covered a build-operate-own-transfer, or BOOT, power facility with approximately 300 MW of generation capacity and an estimated construction cost of approximately US$200 million.
The MOU expired under its terms and was not renewed or extended. Brazil Potash said it is discussing similar BOOT structures and other energy supply arrangements with different providers. However, the company stated that there is no guarantee it will secure a definitive energy supply agreement on acceptable terms, or at all.
#20-F includes going-concern emphasis
Brazil Potash filed its annual report on Form 20-F for the fiscal year ended 31 December 2025 with the U.S. Securities and Exchange Commission on 23 March 2026.
The audited consolidated financial statements included an auditor’s emphasis-of-matter paragraph concerning substantial doubt about the company’s ability to continue as a going concern. Brazil Potash said the announcement does not change or amend those audited financial statements or the Form 20-F.
#Project background
The Autazes Project is being developed by Brazil Potash to produce potash for Brazil’s agricultural sector. The company said Brazil imported more than 95% of its potash fertilizer in 2024 and described the project as part of efforts to support domestic production and reduce reliance on imports.
Brazil Potash’s management has planned initial annual potash production of up to 2.4 million short tons per year and believes the project could potentially supply approximately 20% of Brazil’s current potash demand. The company also anticipates that 100% of its production would be sold domestically and that the project could mitigate approximately 1.4 million tonnes per year of greenhouse-gas emissions. These statements are forward-looking and remain subject to the uncertainties and contingencies identified by the company.
