RE Royalties Ltd. (TSXV:RE)(OTCQB:RROYF)(FSE:Y2V) has launched a proposed fifth secured Green Bond offering targeting gross proceeds of up to $5,000,000. The non-brokered private placement is intended to provide capital for renewable energy assets and technologies, while the company also reported annual meeting results, a change in board leadership and an update on its strategic review.
#Series 5 Green Bond offering
The offering consists of Series 5 secured Green Bond Units priced at either $1,000 or US$1,000 per unit. Each unit includes $1,000 or US$1,000 in principal amount of Green Bonds and 1,000 Warrants. For calculating aggregate gross proceeds, United States dollar-denominated units will be converted into Canadian dollars using the Bank of Canada rate on the closing date.
The Green Bonds are scheduled to have a five-year term and carry interest at 7.5% per annum, payable quarterly. They would rank as senior obligations of RE Royalties and be secured against the company's royalty and loan investment portfolio.
Each Warrant would entitle its holder to purchase one common share at an exercise price of $0.35 per share for 24 months after issuance. The securities are to be issued under a supplemental trust indenture to the company's existing green bond trust indenture, with Western Pacific Trust Company acting as trustee.
#Conditions, restrictions and intended use of funds
RE Royalties expects the private placement to close on or around November 30, 2026, or on another date or dates determined by the company. The closing may take place in one or more tranches and remains subject to corporate and regulatory approval, including approval from the TSX Venture Exchange.
All securities issued through the private placement, including the Green Bonds and Warrants, will be subject to a statutory hold period of four months and one day from the date of issue under applicable Canadian securities laws. The company may also pay a finder fee on gross proceeds raised from certain subscribers introduced by eligible finders; this would apply to only a portion of the total offering proceeds.
RE Royalties expects to direct net proceeds toward renewable energy assets and technologies connected with greenhouse gas reduction, energy transition objectives and long-term sustainable infrastructure development. The company said its 2024 Green Bond Framework is aligned with the International Capital Market Association Green Bond Principles (2021).
The securities have not been and will not be registered under the United States Securities Act of 1933, as amended, or any state securities laws. They may not be offered or sold in the United States, or to or for the account or benefit of U.S. persons or persons in the United States.
#Royalty portfolio and management comments
RE Royalties currently holds over 100 royalty interests tied to solar, wind, hydro, battery storage, renewable natural gas and energy efficiency projects across North America, South America and Asia. The company provides non-dilutive financing to renewable energy companies by acquiring revenue-based royalties on facilities and technologies.
Chief Executive Officer Bernard Tan said the fifth Green Bond series reflects what he described as continued investor interest in the company's royalty financing model. He said the proposed financing would provide additional capital for the company's renewable energy investment pipeline and that the company believes it could support the development of recurring cash flow and long-term shareholder value.
#Annual meeting and board leadership
At the annual meeting held on October 29, 2026, shareholders voted in favour of all matters presented. These included director elections, auditor appointment, the stock options plan, the Non-Employee Director Deferred Share Unit Plan and the Restricted Share Unit Plan.
A total of 7,808,697 common shares were represented in person or by proxy, equal to 17.88% of the votes attached to all outstanding common shares as at the record date.
Bernard Tan has been appointed Chair of the Board. Co-Founder Marchand Snyman did not stand for re-election and is retiring from the Board after eight years of service. Snyman will remain involved with RE Royalties as Co-Founder.
#Strategic review remains underway
RE Royalties said its strategic review, initiated on March 27, 2026, continues to examine structures and partnerships that could support the company's investment pipeline and its stated objective of maximising shareholder value. Management has continued discussions with strategic and financial counterparties and has reported ongoing interest from potential parties.
The company has engaged Range Renewables, which it said expands access to U.S. investors, strategic partners and renewable energy market participants. RE Royalties cautioned that the adviser’s engagement does not indicate that a specific transaction will be pursued. The company also said there is no assurance that the strategic review will produce a transaction or another strategic outcome, or regarding the timing, terms or completion of any such outcome.
