Longview Capital applies for voluntary TSXV delisting, pending Exchange acceptance
Longview Capital (No. 1) Inc. has applied to voluntarily delist its common shares from the NEX board of the TSX Venture Exchange. The proposed delisting remains subject to Exchange acceptance.
Longview Capital (No. 1) Inc., formerly known as BE Resources Inc., has applied to remove its common shares from trading on the NEX board of the TSX Venture Exchange under the symbol TSXV:BER.H. The proposed voluntary delisting remains subject to acceptance by the Exchange.
The company said its board assessed the financial, administrative and compliance costs associated with maintaining the listing against the Shares' limited trading volume. The company also currently has no operating business or material assets. Based on those considerations, the Board said it determined that proceeding with the Delisting was in the best interests of the Company and its shareholders.
At the annual general and special meeting held on November 10, 2025, disinterested shareholders approved a resolution authorising the Board to apply for the Delisting at its discretion. The resolution received 99.773% of the votes cast by disinterested shareholders, with votes attached to Shares held by insiders and their associates and affiliates excluded.
Subject to acceptance by the Exchange, the company expects the Shares to be delisted from the TSXV at the close of trading on or about November 9, 2026. Until the Delisting becomes effective, the Shares will continue to trade on the Exchange. Longview Capital said it will issue another news release confirming the effective date once the Exchange has accepted the application.
After the Delisting, the Shares will not be listed or quoted on any stock exchange or other marketplace. Shareholders will continue to own their Shares, which will remain transferable under applicable securities laws. Marrelli Trust Company Limited will continue as the company's registrar and transfer agent.
Longview Capital intends to remain a reporting issuer in British Columbia, Alberta and Ontario. It said it will continue meeting its continuous disclosure obligations in those provinces, including filing financial statements, management's discussion and analysis and material change reports. These filings will remain available through the company's profile on SEDAR+.
Before the delisting application, the company completed its continuance from the State of Colorado into the Province of Ontario under the Business Corporations Act (Ontario), effective December 19, 2025. Shareholders approved that change at the November 10, 2025 meeting.
Following the proposed Delisting, Longview Capital intends to continue evaluating alternatives to maximise value for shareholders. The company said it will provide further disclosure if and when it decides to proceed with any such transaction.
Longview Capital identified several risks and uncertainties connected with the proposal. These include the possibility that final Exchange acceptance may not be obtained or may be delayed, and the possibility that the Exchange could impose conditions on the Delisting.
The company also identified reduced liquidity for Shareholders after the Delisting, the risk that it may not identify or complete an alternative transaction, and general market conditions. Shareholders who hold their Shares through a broker or another intermediary and have questions about the effect of the Delisting should contact that intermediary. The company also encouraged shareholders to consult their own legal, tax and financial advisers about the consequences of the Delisting.
