DataMeds AI, Inc. (NASDAQ:MEDS) has announced an exclusive U.S. direct-to-consumer licensing, revenue-sharing and marketing agreement with REBOOT Health AI, Inc. The companies plan to adapt REBOOT’s care management technology for patients taking GLP-1 receptor agonist medications and incorporate it into DataMeds AI’s Health Lives Here mobile application.

#Planned integration into Health Lives Here

Under the agreement, DataMeds AI will work with REBOOT to develop GLP-1 weight care support features within Health Lives Here. The plans include technology integration, pilot programmes and a later commercial launch.

The proposed modules are intended to be offered through monthly subscriptions. Health Lives Here is available on Android and iOS devices and is designed to bring together electronic health records and wearable-device information in a dashboard for monitoring goals and progress.

#Licensed rights and intellectual property

The agreement covers U.S. direct-to-consumer rights to REBOOT’s proprietary platform, along with revenue sharing for subscriptions connected to the GLP Management Platform. REBOOT’s intellectual property portfolio includes six (6) patents and six (6) patent pending applications.

The patents and applications relate to areas including data-based outcome optimisation, goal progression, personalised goal tracking, methods for reaching goals and AI-supported chronic disease management.

Data Health Partners, Inc., the parent company of REBOOT, is currently involved in litigation with Teladoc Health concerning the intellectual property.

DataMeds AI says the Health Lives Here offering may also provide access to Forzet™, a proprietary medical food intended for the dietary management of muscle loss associated with weight loss therapies.

Corexa Health’s pharmacy and distribution divisions are licensed to dispense and distribute FDA-approved GLP-1 receptor agonist drugs. Users of Health Lives Here can choose their own pharmacy. Tollo Health manufactures medical foods and dietary supplements and intends to develop nutritional support programmes for people taking GLP-1 receptor agonist medications.

DataMeds AI also identifies NFL Alumni Health as a marketing partner connected with the Health Lives Here offering. The company has said it expects the broader model to generate revenue linked to pharmacy dispensing, nutraceutical sales, diagnostic laboratory testing and physician services. Those statements are forward-looking and depend on factors including customer adoption, subscription pricing and the development of the planned services.

#Company background and stated risks

DataMeds AI, also known as DataMeds SI and DataMEDS, describes itself as a healthcare company combining Health IT, pharmacy, pharmaceutical-adjacent and telemedicine operations. Its platforms include EinsteinRx™ and the blockchain-enabled PharmacyChain™ system. Its Helomics Corporation subsidiary operates a CLIA-certified laboratory in Pittsburgh.

The company has identified several uncertainties surrounding the project, including the timing and cost of integration, consumer adoption and retention, subscription pricing, the validity and enforceability of the licensed intellectual property, and the outcome of the Teladoc litigation. It also cited regulatory issues affecting the platform, medical foods, dietary supplements and GLP-1 medications, as well as liquidity, capital resources and its ability to fund operations.
