CanCambria Energy Corp. has closed the second upsize of its non-brokered private placement, raising gross proceeds of CAD $3,275,350. The Vancouver-based company issued 8,188,375 units at $0.40 per unit, following earlier announcements dated January 5, 2026, and January 15, 2026.
#Structure of the Offering
Each unit consists of one common share and one share purchase warrant. Every warrant gives its holder the right to acquire one additional common share at an exercise price of $0.50 per warrant share for three (3) years after the offering closed.
The units, shares, warrants and any shares issued through warrant exercises are subject to a hold period of four months and one day, expiring May 30, 2026.
#Planned Use of Proceeds
CanCambria said the net proceeds will support the purchase of long-lead items connected with the start of its 2026 drilling program. The funds are also intended for continued technical resource evaluation of the Kiskunhalas Concession Area, support for the Joint Venture process involving the BA-IX tight-gas field, and general corporate purposes.
Dr. Paul Clarke, CanCambria’s chief executive officer, said management and key company associates participated in the financing and collectively purchased shares representing approximately 5% of the units offered. The company said the financing would support preparations for the Kiskunhalas Project drilling program and the procurement of long-lead items.
#Finder’s Fee and Related-Party Participation
CanCambria paid a cash finder’s fee of $156,924 and issued 392,310 non-transferable finder’s warrants. Each finder’s warrant is exercisable for one common share at $0.50 per finder’s warrant share and expires January 29, 2029. Apart from their non-transferable status, the finder’s warrants carry the same terms as the warrants issued with the units.
Insiders acquired 250,000 units. CanCambria classified that participation as a related party transaction under Multilateral Instrument 61-101, or MI 61-101. The company relied on exemptions from the formal valuation and minority shareholder approval requirements under subsections 5.5(a) and 5.7(a) of MI 61-101 because insider participation would not exceed 25% of the fair market value of the company’s market capitalization.
#Securities Law Conditions
The units were issued under available prospectus exemptions, including those set out in National Instrument 45-106. The securities have not been registered, and will not be registered, under the United States Securities Act of 1933, as amended. They cannot be offered or sold in the United States without registration or an applicable exemption from registration requirements.
CanCambria also stated that the release does not constitute an offer to sell or a solicitation of an offer to buy. It said no sale may occur in a jurisdiction where the relevant offer, solicitation or sale would be unlawful. The securities covered by the announcement include the units, shares, warrants, warrant shares, finder’s warrants and finder’s warrant shares.
#Other Corporate Matter
Under a consulting services agreement with Larry Busnardo, CanCambria’s vice president of investor relations, the company agreed to pay a cash consulting fee of US$15,500 per month. The agreement runs for three years and may be ended by either party with 30 days' written notice.
#Company Information and Forward-Looking Disclosures
