Barton Gold Holdings Limited, engaged in gold development, has announced a significant change as its shares will transition from the OTCQB Venture Market to an unsponsored OTC quotation on August 3, 2026. This decision results from analysis indicating low trading volumes and perceived value from maintaining the OTCQB listing.
As of the market close on July 31, 2026, Barton gold shares will cease to be traded on the OTCQB, while trading on the Australian Securities Exchange (ASX) under the ticker BGD will continue uninterrupted. Shares currently listed on the OTCQB, categorized under the ticker BGDFF, will be recorded on the OTC Markets Group and available under a restricted Pink Limited Market designation.
The company plans to close its US Share Register by December 1, 2026. This move will transfer all US-held shares back to Barton's primary Australian Share Register, increasing the potential liquidity for US investors despite the complexities involved in this transition.
Shareholders holding BGDFF shares will remain the beneficial owners of their underlying shares throughout this process. Each investor will be able to trade their shares via their current brokers, although those trading on the new unsponsored platform may experience reduced liquidity compared to the previous arrangement. Barton advises investors to directly consult their brokers to ensure a smooth transition and continued trading capabilities.
Alexander Scanlon, Managing Director of Barton Gold, noted the transition reflects the company's ongoing challenges in providing liquidity through the OTCQB due to recent changes in the North American settlement framework. He stressed that this change, although affecting a small percentage of shares, is expected to enhance overall trading conditions for shareholders.
Barton Gold Holdings Limited (ASX:BGD)(OTCQB:BGDFF)(FRA:BGD3) will transition its shares from the OTCQB Venture Market to an unsponsored OTC quotation on the OTC Markets Group under the ticker BGDFF as of Monday, 3 August 2026. The decision to discontinue the OTCQB listing is based on perceived low value relative to its costs.
Existing BGDFF shareholders will remain beneficial owners of their underlying Barton shares, and they can continue trading these shares through a broker of their choice. However, trading in unsponsored OTC securities may be subject to reduced liquidity and visibility compared to the previous OTCQB sponsorship. It is advised that shareholders consult their brokers to ensure continued access to trading and settlement services.
According to Barton Gold, the transition to an unsponsored OTC quotation will have no impact on its underlying business operations, strategic priorities, or ability to execute its production or development plans. The company expects that moving the US-registered shares back to the Australian principal share register will enhance liquidity for US investors.
The closure of the US Share Register, planned for around 1 December 2026, will result in all shares currently held in the US being re-registered on Barton's Australian Share Register. This process is expected to maintain access to shares for US shareholders but may require them to work with their brokers to facilitate the transition.
Post-transition, US investors may face challenges if their broker-dealer does not provide services for shares held on the Australian Share Register or for unsponsored OTC securities. Investors are encouraged to confirm their broker's capability to trade these shares to avoid disruptions.
Barton Gold determined that the costs associated with maintaining the OTCQB listing outweighed the perceived benefits due to low trading volumes, particularly following a market shift to T + 1 settlement that presented challenges for timely settlement between the Australian and US markets.
BGDFF holders should expect their shares to be registered directly on the Australian Share Register after the US Share Register closes. Trading will then take place on the Australian Securities Exchange (ASX), and they will receive an issuer-sponsored holding statement confirming their shareholding.
Barton Gold previously opened a US branch share register in November 2023, enabling real-time trading and settlement of BGDFF in the US through full-service brokers. However, the cessation of the OTCQB listing will eliminate this specific trading platform, prompting a shift in how shares are managed and traded.
